Please read these Terms of Service (collectively with Demi Solutions OÜ's Privacy Policy, the "Terms of Service") fully and carefully before using the services, features, and content offered by Demi Solutions OÜ ("StatementLoom", "we," "us," or "our") through its website or software applications (collectively, the "Services"). These Terms of Service set forth the legally binding terms and conditions for your use of the Services.

1. Acceptance of Terms

By accessing this website or using our Services in any manner, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services. If you use the Services on behalf of a firm or another organisation, you confirm that you may accept these terms for it.

2. Use License

Permission is granted to access and use the Services for your own business and for the clients you work for. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Resell, sublicense, or commercially redistribute the Services as a competing conversion product or service;
  • Attempt to reverse engineer any software contained on StatementLoom's website;
  • Remove any copyright or other proprietary notations from the materials; or
  • Transfer the materials to another person or "mirror" the materials on any other server.

The files you download (QBO, QFX, OFX, Excel, CSV and Xero CSV) are yours to use without restriction.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by StatementLoom at any time.

3. Description of the Service

StatementLoom reads the text of PDF bank and credit-card statements you upload and turns the transactions into files that accounting software can import. Before a file is offered for download, the transactions are checked against the balances printed on the statement; a statement that does not pass that check is not offered for download until it does. Scanned or image-only PDFs, and PDFs protected by a password, are not supported.

The Services are a data-conversion tool. They are not accounting, bookkeeping, tax or legal advice, and we are not your bookkeeper or accountant. You remain responsible for reviewing the transactions and for what you import into your own or your clients' books.

4. Disclaimer

The materials and converted files on StatementLoom's website are provided "as is". StatementLoom makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement. The balance check confirms that the transactions add up to the balances printed on the statement; it cannot detect every possible reading error, for example two errors that cancel each other out or a wrong description. We do not warrant that every statement layout can be read, or that the Services will be available without interruption.

5. Limitations of Liability

In no event shall StatementLoom or its suppliers be liable for any indirect or consequential damages (including, without limitation, damages for loss of data, profit, or due to business interruption) arising out of the use or inability to use the materials or Services, even if StatementLoom or a StatementLoom authorized representative has been notified orally or in writing of the possibility of such damage. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

7. Changes to These Terms

StatementLoom may revise these Terms of Service from time to time. Material changes will apply prospectively, and we will provide reasonable notice when required by applicable law. The updated Terms will state their effective date.

8. Plans, Pricing and Payment

StatementLoom offers a free single-statement converter that needs no account, a Free account plan and paid plans. Each plan includes a number of PDF pages a month, counted across all clients of a workspace. Only pages of statements that pass the balance check count; a statement that fails or does not pass is not counted. Unused pages do not carry over to the next month.

Paid plans are monthly or annual subscriptions processed by Paddle, our payment provider and merchant of record. Your subscription automatically renews for the same billing interval until cancelled. You may cancel through your billing page at any time; cancellation takes effect at the end of the then-current paid billing period, and no further renewal payment will be taken. We do not charge automatic overages: when a workspace has used its pages for the month, further uploads wait until the allowance resets or the plan is upgraded.

Current prices, billing intervals, page allowances and any applicable taxes are shown before checkout. We may change prices or plan features prospectively. If a price change affects an existing subscription, we will provide reasonable advance notice and the change will apply no earlier than a future renewal, subject to applicable law.

9. Refund Policy

Purchases are processed by Paddle, our merchant of record. Refunds are governed by Paddle's Refund Policy. To request a refund, contact us through our contact form or visit paddle.net. Nothing in these terms limits your mandatory consumer rights.

10. Your Statements and Files

The statements you upload, and the transactions read from them, remain yours. You give us permission to process them only to provide the Services to you: to read them, check them, show them to the members of your workspace and create the files you download. We do not use them to train AI models, and we do not sell them.

You confirm that you have the right to upload each statement, for example because the account is yours or because your client has asked you to process it, and that doing so does not breach any obligation you owe to someone else.

Statements are deleted automatically after the period described on our Security page, and you can delete any statement sooner. Keep your own copy of any file you need: once a statement has been deleted we cannot recover it.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of StatementLoom and its licensors. The Service is protected by copyright, trademark, and other laws of Estonia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

QuickBooks, Quicken and Xero are trademarks of their respective owners. StatementLoom is not affiliated with, endorsed by or sponsored by them; their names are used only to describe which files the Services can create.

12. User Conduct

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To upload statements you are not authorized to process, or documents that are not bank or credit-card statements in order to misuse the Service.
  • To impersonate or attempt to impersonate StatementLoom, a StatementLoom employee, another user, or any other person or entity.
  • In any manner that places an unreasonable or disproportionately large load on our infrastructure, including automated or bulk use of the free converter.
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

We may limit the free converter and uploads, and we may suspend or block usage that we reasonably believe is abusive or in breach of these Terms.

13. Assignment

You may not assign or transfer these Terms, or your account, without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets, in which case the assignee will be bound by them.

14. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you cancel a paid subscription, paid access continues through the end of the current billing period. When that period ends, the workspace moves to the Free plan. If your account is terminated, access may be disabled immediately, and statements still held for your workspace are deleted no later than their scheduled deletion time.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

15. Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for more information on how we collect, use and disclose information from our users.

16. Dispute Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting StatementLoom. If a dispute is not resolved within 30 days of submission, any resulting legal actions must be resolved through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify.

17. Indemnification

You agree to defend, indemnify, and hold harmless StatementLoom, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of any third party.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and StatementLoom regarding the use of the Service, and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.
